IMUTV – Terms of Service and Content Creator Agreement

Effective Date: December 1, 2025

Welcome to IMUTV. This document outlines the legal terms (“Terms”) that govern your use of the IMUTV website, applications (web, mobile, TV), and all related services (collectively, the “Service”). These Terms are a binding legal agreement between you (“User,” “Creator,” “you”) and Independent Music universe, LLC (“IMUTV,” “we,” “us,” or “our”).

Your use of the Service is also governed by our Privacy Policy, which is a separate document available at https://imutv.tv/privacy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

This document is divided into three main parts:

  • Part I: Terms of Service: Applies to all users of the Service, including viewers and content creators.
  • Part II: Content Creator Agreement: Contains additional terms that apply specifically to users who submit content to the Service.
  • Part III: General Legal Provisions: Covers legal disputes, disclaimers, and other general terms.

By accessing, using, or submitting content to the Service, you agree to be bound by all parts of these Terms. If you do not agree, you may not use the Service.

Part I: Terms of Service

Definitions

  • “User” refers to any person who accesses or uses the Service, including general viewers and Creators.
  • “Creator” refers to any User who uploads, submits, or otherwise makes content available on the Service.
  • “Content” refers to the audiovisual content, including music videos, films, and other materials, submitted by Creators.
  • “User Submissions” refers to any content, other than “Content,” that a User posts to the Service, such as comments, reviews, or profile information.
  • “IMUTV Content” refers to all content on the Service that is not Content or User Submissions, including our branding, logos, software, text, and graphics.

1. Your Account: You may need to create an account to access some features of the Service. You are responsible for safeguarding your account information, including your password, and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. You must be at least 18 years of age to use the Service. If you are under 18 (or the age of legal majority in your jurisdiction), you may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

2. Using the Service: You are granted a limited, non-exclusive, non-transferable license to access and view the content on the Service for your personal, non-commercial use.

2.1. Service Monetization & User Payments: IMUTV offers a combination of free, ad-supported content (AVOD) and paid subscription plans (SVOD).

  • Subscriptions: If you purchase a subscription (SVOD), you will be billed in advance on a recurring basis. All payments are non-refundable, except as required by law.
  • In-App Purchases: For any subscriptions or content purchased through our mobile or TV applications (e.g., on Apple TV or iOS), your payment will be processed by that third-party platform (e.g., Apple). Your purchase will be subject to that platform’s payment terms and policies.
  • Taxes and Fees: You are responsible for all applicable taxes and fees associated with your purchase.

2.2. Web3 and Cryptocurrency Risks: If you choose to use Web3 features, including payments via the XRP Ledger (XRPL) or Xaman Wallet, you acknowledge and agree that:

  • No Liability for Wallets: IMUTV has no control over, and accepts no liability for, your third-party crypto wallet (e.g., Xaman). You are solely responsible for managing your private keys and security. If you lose access to your wallet, IMUTV cannot recover your funds.
  • Irreversibility: Blockchain transactions are irreversible. Once a payment is sent, it cannot be refunded or cancelled by IMUTV.
  • Volatility & Regulation: The value of cryptocurrencies can be extremely volatile. IMUTV is not responsible for any loss of value. You are responsible for ensuring your use of crypto assets complies with the laws of your local jurisdiction.

3. Acceptable Use Policy: You agree not to use the Service to:

  • Post or transmit any content that is illegal, threatening, defamatory, obscene, pornographic, or profane.
  • Engage in any activity that promotes violence, hate speech, harassment, or discrimination against individuals or groups based on race, ethnic origin, religion, disability, gender, age, veteran status, or sexual orientation.
  • Violate any applicable local, state, national, or international law.
  • Infringe upon the intellectual property rights of others, including copyright, trademark, or patent rights.
  • Upload or transmit viruses, malware, or any other malicious code.
  • Attempt to gain unauthorized access to our systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of the Service.

We reserve the right to terminate or suspend accounts of users who violate this Acceptable Use Policy without notice.

4. User-Generated Content (Viewer Comments and Submissions): If you post comments or other content on the Service (“User Content”), you retain ownership of that content. However, by posting it, you grant IMUTV a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform your User Content in connection with the Service and IMUTV’s business, including for promoting the Service. You are solely responsible for the User Content you submit.

5. Intellectual Property: Other than the content provided by our Creators and users, all aspects of the Service, including but not limited to the text, software, scripts, graphics, photos, sounds, music, videos, and interactive features (“IMUTV Content”) and the trademarks, service marks, and logos contained therein (“Marks”), are owned by or licensed to IMUTV, subject to copyright and other intellectual property rights under the law. You agree not to copy, modify, distribute, sell, or lease any part of our Service or its content.

5.1 Feedback: If you provide IMUTV with any feedback, suggestions, or ideas regarding the Service (“Feedback”), you hereby assign to IMUTV all rights in such Feedback and agree that IMUTV shall have the right to use such Feedback and related information in any manner it deems appropriate without any compensation or credit to you.

6. Copyright Policy (DMCA): IMUTV respects the intellectual property rights of others and expects its users to do the same. We will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (“DMCA”).

If you are a copyright owner and believe that any content on the Service infringes upon your copyrights, you may submit a notification pursuant to the DMCA by providing our Copyright Agent with the following information in writing:

  • A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
  • Identification of the copyrighted work claimed to have been infringed.
  • Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material.
  • Your contact information, including address, telephone number, and email address.
  • A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
  • A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

We will also terminate a user’s access to the Service if they are determined to be a repeat infringer.

7. Disclaimers and Limitation of Liability: THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, IMUTV DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

IN NO EVENT SHALL IMUTV, ITS DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

8. Indemnification: You agree to defend, indemnify, and hold harmless IMUTV and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right.

Part II: Content Creator Agreement

These terms apply to any user who uploads, submits, or otherwise provides audiovisual content, including music videos and other creative works (collectively, “Content”) to the Service.

9. Grant of License for Your Content: By submitting Content to IMUTV, you grant us a non-exclusive, worldwide, perpetual, revocable, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, communicate, publish, publicly perform, publicly display, and distribute your Content.

This license allows IMUTV to:

  • Stream your Content on the Service across all platforms (web, mobile, TV apps, etc.).
  • Use excerpts, stills, and clips of your Content for marketing and promotional purposes for the Service in any and all media.
  • Encode, transcode, and format your Content to be compatible with the Service.
  • Report your music streams to P.R.O.’s and other regulatory institutions.

For the avoidance of doubt, this license is royalty-free, meaning you grant IMUTV the right to use your Content without the obligation of any payment, royalty, or other financial compensation to you or any third party, except as explicitly set forth in a separate “Creator Monetization Program” addendum or agreement entered into by both parties. Absent such an additional agreement signed by both parties, no compensation is owed.

10. Ownership of Content: You retain full ownership of and all intellectual property rights in your Content. This Agreement does not transfer any ownership rights from you to IMUTV; it only grants us the license described above.

11. Your Representations and Warranties: You represent and warrant that:

  • You are the sole owner of the Content or have obtained all necessary rights, licenses, consents, and permissions to grant IMUTV the license in this Agreement.
  • Your Content does not and will not infringe upon the copyright, trademark, patent, trade secret, privacy, publicity, or other intellectual or proprietary rights of any third party.
  • You have secured all necessary rights from any individuals appearing in the Content and from the owners of any musical compositions and sound recordings embodied in the Content.
  • Your Content complies with IMUTV’s Terms of Service and does not contain any material that is unlawful, defamatory, obscene, or otherwise objectionable.

12. AI-Generated Content Policy:

  • Human Authorship Required: Content that is wholly generated by an AI system without substantial human creative input is not eligible for copyright protection in the U.S. and is not accepted on the Service.
  • Permissible Use: You may use AI as a tool to assist in your creative process, provided your own creative contributions are sufficient to make the final work copyrightable.
  • Commercial Rights: You warrant that you have reviewed the terms of any AI tool used and have secured a valid commercial license for any AI-generated output included in your Content.
  • Disclosure: You must disclose to IMUTV if any portion of your Content was generated or assisted by AI upon submission.

13. Creator Subscriptions and Fees: IMUTV may offer optional paid subscription plans, such as data packages, storage tiers, or other premium services, for Creators (“Creator Subscriptions”). Fees for any Creator Subscription (“Subscription Fees”) will be specified at the time of purchase and will be billed on a yearly basis unless otherwise stated. All Subscription Fees are non-cancellable and non-refundable. No refunds or credits will be provided for partial subscription periods or unused services, even if you terminate your subscription or remove your Content before the end of the yearly term. If you cancel your Creator Subscription, you will retain access to the paid features until the end of your current annual billing cycle, at which point your access will be downgraded.

14. Content Removal: You may request the removal of your Content from the Service at any time by contacting us. We will use commercially reasonable efforts to remove the Content from public view. However, you acknowledge that IMUTV may retain archival copies and that previously distributed promotional materials featuring your Content may continue to exist. IMUTV reserves the right to remove or refuse to display any Content for any reason, including for violations of our Terms of Service or this Agreement.

Part III: General Legal Provisions

15. Changes to These Terms: We may modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

16. Governing Law and Jurisdiction: These Terms shall be governed by the laws of the State of Florida, without respect to its conflict of laws principles. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Brevard County, Florida.

17. Dispute Resolution: MANDATORY ARBITRATION AND CLASS ACTION WAIVER

  • Arbitration: You and IMUTV agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration, except that each party retains the right to seek injunctive relief in a court of competent jurisdiction.
  • Class Action Waiver: YOU AND IMUTV AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

18. DISCLAIMER OF WARRANTIES: THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, IMUTV AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

19. LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMISSIBLE BY LAW, IN NO EVENT SHALL IMUTV BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR ANY OTHER INTANGIBLE LOSS) ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

20. Indemnification: You agree to defend, indemnify, and hold harmless IMUTV and its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including any copyright, property, or privacy right; or (iv) any claim that your Creator Content or User Submission caused damage to a third party.

21. Termination: IMUTV may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

22. General:

  • Entire Agreement: These Terms (along with our Privacy Policy) constitute the entire agreement between you and IMUTV concerning the Service.
  • Severability: If any provision of these Terms is deemed invalid, the invalidity of such provision shall not affect the validity of the remaining provisions.
  • No Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
  • Assignment: These Terms may not be transferred or assigned by you, but may be assigned by IMUTV without restriction.

23. App Store & Platform Terms:

  • Apple: You acknowledge that these Terms are between you and IMUTV only, not with Apple. Apple is not responsible for the Service or the Content. Apple has no obligation to furnish any maintenance or support services. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever.
  • Roku: You acknowledge that Roku is not responsible for the Content or the operation of the Service. Your use of the Service on Roku devices is subject to the Roku End User License Agreement.

24. Force Majeure: IMUTV shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
